1. Acceptance of Terms

Welcome to Urban Transit Solutions LLC. These Terms of Service ("Terms") govern your access to and use of our transit card reload services, website, mobile application, and related services (collectively, the "Services") provided by Urban Transit Solutions LLC ("Company," "we," "our," or "us").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

2. Changes to Terms

We may modify these Terms at any time. If we make changes, we will provide notice of such changes, such as by sending an email notification, providing notice through the Services, or updating the "Effective Date" at the top of these Terms. Unless we say otherwise, the modified Terms will be effective immediately upon posting. Your continued use of our Services after we provide such notice will confirm your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Services.

3. Using Our Services

3.1 Eligibility

To use our Services, you must be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater. By using our Services, you represent and warrant that you meet these requirements.

3.2 Account Registration

To access certain features of our Services, you may need to register for an account. When you register, you agree to provide accurate, current, and complete information about yourself and to update such information as necessary. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Transit Card Usage

Our Services allow you to reload your transit card for use in authorized public transportation systems. By using our Services to reload your transit card, you agree to comply with all applicable rules and regulations set by the relevant transit authorities. We are not responsible for the acceptance or functionality of transit cards within the transportation system.

4. Payments and Refunds

4.1 Payment Processing

When you reload your transit card through our Services, you agree to pay all charges at the prices then in effect. You authorize us to charge your chosen payment provider for any such purchases. You agree to make payment using the payment method you provide when you set up your account. We reserve the right to correct any errors or mistakes in pricing that we make even if we have already requested or received payment.

4.2 Refund Policy

All reload transactions are final and non-refundable unless otherwise required by applicable law. In exceptional circumstances, we may, at our sole discretion, offer a refund. Please refer to our Refund Policy for more details.

4.3 Fees and Taxes

We may change our fees at any time. If applicable, we will charge tax on our Services based on the billing information you provide us at the time of purchase.

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Services, including their entire contents, features, and functionality, are owned by the Company, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You agree not to copy, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any of the material on our Services, or to use such material for any purpose other than as contemplated in these Terms without our prior written consent.

5.2 Feedback

If you provide us with any feedback or suggestions regarding the Services ("Feedback"), you hereby assign to us all rights in the Feedback and agree that we shall have the right to use such Feedback and related information in any manner we deem appropriate. We will treat any Feedback you provide to us as non-confidential and non-proprietary.

7. Limitation of Liability

To the maximum extent permitted by law, in no event shall the Company or its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

8. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

9. Governing Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the United Arab Emirates, without giving effect to any choice or conflict of law provision or rule.

10. Dispute Resolution

Any legal action or proceeding relating to your access to, or use of, the Services or these Terms shall be instituted in the courts of the United Arab Emirates. You and the Company agree to submit to the personal jurisdiction of the courts located within Dubai, UAE.

11. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your account, you may simply discontinue using the Services or contact us to deactivate your account.
